1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the CartixAI platform, website (cartixai.com), and all related services (collectively, the "Service") provided by CartixAI ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your business.

2. Description of Service

CartixAI is a Software-as-a-Service (SaaS) platform that provides Pakistani businesses with:

• AI-powered WhatsApp auto-reply and order management.
• An online storefront builder and customer-facing product catalogue.
• Order tracking, team management, and analytics tools.
• Subscription management and billing functionality.

The Service is provided on a subscription basis. We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.

3. Accounts and Registration

• You must provide accurate and complete information when registering and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account.
• You must notify us immediately at support@cartixai.com if you suspect any unauthorised use of your account.
• One account may be registered per business entity unless otherwise agreed in writing.

4. Subscription Plans and Billing

• Payments are accepted via Bank Transfer, JazzCash, and Easypaisa.
• After submitting a payment, you must upload a payment screenshot and reference number. Access is activated after manual verification by our team, typically within 24 working hours.
• Prices are in Pakistani Rupees (PKR) and inclusive of any applicable taxes.
• We reserve the right to change pricing with 30 days' notice. Price changes do not affect your current active subscription period.

4.3 Renewal

Subscriptions do not auto-renew. You must manually submit a new payment before your subscription expires to avoid service interruption. We will send reminder emails 7 days and 1 day before expiry.

5. Free Trial

• Each business is entitled to one (1) free trial of 3 days only.
• No payment information is required to start the trial.
• The trial provides full platform access. At the end of the trial period, access is automatically suspended until a paid subscription is purchased.
• Trial accounts may not be used for commercial fulfilment at scale or in a way that abuses platform resources.

6. Acceptable Use

You agree not to use CartixAI to:

• Sell illegal, counterfeit, hazardous, or prohibited products or services under Pakistani law.
• Engage in spam, phishing, or unsolicited messaging through WhatsApp in violation of Meta's policies.
• Violate any intellectual property rights of others.
• Collect user data in a way that violates applicable privacy laws.
• Attempt to reverse-engineer, copy, or replicate any part of the platform.
• Overload, hack, or disrupt the platform's infrastructure.
• Misrepresent your identity or affiliation to customers or to CartixAI.

Violation of these rules may result in immediate account suspension without refund.

7. Intellectual Property

CartixAI and all related technology, software, branding, and content are the exclusive property of CartixAI and its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your active subscription.

Your business data, product information, and storefront content remain your property. You grant us a licence to host and process it solely to provide the Service.

8. Third-Party Services

CartixAI integrates with third-party services including WhatsApp Business API (Meta), cloud infrastructure, and AI providers. Your use of the Service is also subject to their respective terms. We are not responsible for the availability or conduct of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law:

• CartixAI is provided "as is" and "as available" without warranties of any kind.
• We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• Our total aggregate liability to you shall not exceed the amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

10. Termination

• By you: You may close your account at any time. Subscription fees already paid are non-refundable except as described in our Cancellation & Refund Policy.
• By us: We may suspend or terminate your account for breach of these Terms, non-payment, or abuse of the Service, with or without prior notice depending on severity.
• Upon termination, you lose access to the platform. Your data is deleted per Section 5 of our Privacy Policy.

11. Governing Law and Disputes

These Terms are governed by the laws of the Islamic Republic of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Islamabad, Pakistan. We encourage resolving disputes amicably first by contacting support@cartixai.com.

12. Changes to These Terms

We may update these Terms at any time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
